These Terms & Conditions ("Terms") govern your access to and use of the websites, apps, and services provided by Manifestic ("Manifestic," "we," "us," or "our"), including our AI receptionist (voice & chat), CRM, website, and content-marketing services (together, the "Services"). By accessing or using the Services, you agree to these Terms.
1. Acceptance of these Terms
By creating an account, purchasing a plan, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you are authorized to bind that business.
2. The Services
Manifestic provides AI-powered voice and chat assistants, lead capture, CRM, website, and marketing tools. Features, plans, and availability may change over time. We may add, modify, or discontinue parts of the Services, and we will use reasonable efforts to notify you of material changes.
3. Eligibility & accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
4. Plans, fees & billing
- Subscriptions — paid plans are billed in advance on a recurring monthly or annual basis until cancelled. By subscribing, you authorize us (and our payment processor) to charge your payment method on each renewal.
- Setup fees — certain plans include a one-time setup fee charged at the start. Setup fees are non-refundable once work has begun.
- Renewals — subscriptions renew automatically at the then-current rate unless cancelled before the renewal date.
- Cancellation — you may cancel at any time; cancellation takes effect at the end of the current billing period, and the Services remain active until then. Fees already paid are non-refundable except where required by law.
- Taxes — fees are exclusive of taxes, which you are responsible for where applicable.
- Changes — we may change pricing on a going-forward basis with reasonable notice before your next renewal.
5. Acceptable use
You agree not to use the Services to: break the law or any applicable regulation (including telemarketing, anti-spam, and consumer-protection rules); send unsolicited or unlawful messages; infringe others' rights; transmit malware; attempt to disrupt, reverse engineer, or gain unauthorized access to the Services; or use the Services to harass, defraud, or harm others. You are responsible for obtaining any consents required to contact your leads and customers.
6. AI services & disclaimers
The Services include AI features that generate responses automatically. AI output may be inaccurate, incomplete, or unexpected, and should not be relied upon as professional, legal, medical, or financial advice. You are responsible for reviewing and supervising how the AI represents your business. Manifestic is not liable for actions taken based on AI-generated content.
7. Your data & your customers
You retain ownership of the content and data you provide and the contacts and conversations generated through your use of the Services. You grant Manifestic a license to host, process, and use that data to provide and improve the Services. You are responsible for your end-customers' data and for complying with applicable privacy and communication laws. Our handling of personal information is described in our Privacy Policy.
8. Partner / affiliate program
If you participate in our partner or affiliate program, additional program terms apply, including how referrals are tracked and commissions are earned and paid. Commissions are paid only on qualifying, collected payments and may be adjusted for refunds, chargebacks, or cancellations. We may modify or end the program with notice.
9. Intellectual property
The Services, including our software, branding, and content (excluding your content), are owned by Manifestic and our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, resell, or create derivative works except as expressly permitted.
10. Third-party services
The Services integrate with third-party platforms (such as CRM, payment, calendar, social, and AI providers). Your use of those platforms is governed by their terms, and we are not responsible for them.
11. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they will achieve any particular result, including any specific number of leads, bookings, or revenue.
12. Limitation of liability
To the fullest extent permitted by law, Manifestic and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Manifestic from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Services in a way that risks harm or legal exposure. Upon termination, your right to use the Services ends; sections that by their nature should survive will survive.
15. Governing law & disputes
These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Minnesota for any dispute not subject to other agreed dispute-resolution terms.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the effective date. Your continued use of the Services after changes take effect constitutes acceptance.
